TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern access to and use of the WazaNow platform, including all related services, features, software, applications, and interfaces (collectively, the “Platform”).

The Platform is owned and operated by WazaNow Pte. Ltd., a company incorporated in Singapore (“WazaNow,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be legally bound by these Terms.

If you do not agree, do not access or use the Platform.

1. DEFINITIONS

• “User” means any individual or entity that accesses or uses the Platform.
• “Services” means all AI-powered functionalities, tools, and features offered through the Platform.
• “User Content” means any data, text, prompts, files, media, inputs, or materials submitted, uploaded, or otherwise provided by a User.
• “Generated Content” means outputs, responses, recommendations, or content generated by the Platform’s AI Systems.
• “AI Systems” means machine learning models, algorithms, neural networks, and related technologies used by the Platform.
• “Internal Use” means use for operating, maintaining, securing, analyzing, improving, training, evaluating, and developing the Platform and AI Systems.
• “Personalization” means automated adaptation of outputs or features based on User behavior, interactions, or preferences.

2. ACCEPTANCE AND ELIGIBILITY

You represent and warrant that:

• You are at least 18 years old, or the age of legal majority in your jurisdiction.
• You have legal authority to enter into these Terms.

Use of the Platform constitutes acceptance of these Terms.

3. DESCRIPTION OF SERVICES

The Platform is an AI-powered system that:

• Processes User Content
• Produces probabilistic, automated outputs
• Continuously evolves through system updates and learning processes

The Platform does not provide legal, medical, financial, or other regulated professional advice, unless explicitly stated in writing by WazaNow.

Generated Content may be inaccurate, incomplete, biased, or inappropriate. You are solely responsible for evaluating and using outputs.

4. USER CONTENT AND OWNERSHIP

4.1 Ownership

Users retain ownership of their User Content, subject to the licenses granted below.

4.2 License Grant to WazaNow

By submitting or using User Content, you grant WazaNow a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to:

• Host, store, copy, process, analyze, modify, and transform User Content
• Use User Content for Internal Use, including:
  • Operating and maintaining the Platform
  • Improving, training, testing, and evaluating AI Systems
  • Developing new products and features
  • Personalizing user experiences
  • Ensuring safety, security, compliance, and misuse prevention

This license survives termination to the extent required for legitimate business, legal, or regulatory purposes.

5. GENERATED CONTENT

• Generated Content is produced automatically and may not be unique.
• Similar or identical outputs may be generated for other users.
• Subject to applicable law, you may use Generated Content for lawful purposes.
• No guarantee of originality, exclusivity, or fitness for any purpose is provided.

You are responsible for reviewing Generated Content before use or reliance.

6. DATA USAGE FOR SYSTEM IMPROVEMENT

WazaNow may use User Content, Generated Content, feedback, interaction data, and technical metadata for Internal Use, including:

• AI model training and evaluation
• Quality assurance and performance optimization
• Safety monitoring and abuse detection
• Research, analytics, and product development

Data may be aggregated or anonymized where appropriate. Human review may occur but is not guaranteed.

7. PERSONALIZATION

The Platform may automatically personalize outputs, features, and experiences using algorithmic methods based on User activity.

Personalization logic may change over time. Control or opt-out options may be limited or unavailable depending on jurisdiction and feature.

8. PROHIBITED USES

You must not:

• Use the Platform for unlawful, harmful, or deceptive activities
• Submit content that infringes intellectual property, privacy, or other rights
• Reverse engineer, extract, scrape, or attempt to discover AI model internals
• Bypass safeguards, security features, or usage limits
• Use Generated Content as the sole basis for high-risk decisions (e.g., medical, legal, financial)

WazaNow may suspend or terminate access for violations.

9. FEEDBACK

Any feedback, suggestions, or ideas you provide are voluntary and may be used by WazaNow without restriction, attribution, or compensation.

10. INTELLECTUAL PROPERTY

All Platform technology, software, AI Systems, designs, documentation, and trademarks are owned by or licensed to WazaNow.

No rights are granted except as expressly stated in these Terms.

11. PRIVACY AND DATA PROTECTION

Use of the Platform is subject to the Privacy Policy, which forms part of these Terms.

WazaNow is headquartered in Singapore and designs its data practices to align with applicable laws, including:

• EU GDPR
• US state privacy laws (including CCPA/CPRA where applicable)
• Singapore PDPA
• Relevant APAC data protection regulations

Jurisdiction-Specific Terms

Additional jurisdiction-specific terms may apply depending on your location. Where applicable, such terms are set out in regional addenda and will prevail over these Terms only to the extent required by applicable law.

12. DISCLAIMERS

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ALL WARRANTIES ARE DISCLAIMED
• NO GUARANTEE IS MADE REGARDING ACCURACY, RELIABILITY, OR AVAILABILITY
• AI OUTPUTS MAY BE ERRONEOUS OR MISLEADING

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WAZANOW SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

Where limitations are restricted by law, liability is limited to the minimum extent permitted.

14. INDEMNIFICATION

You agree to indemnify and hold harmless WazaNow from claims, losses, damages, liabilities, and expenses arising from:

• Your use of the Platform
• Your User Content
• Your violation of these Terms or applicable law

15. TERMINATION

WazaNow may suspend or terminate access at any time, with or without notice, for any reason.

Upon termination:

• Access rights immediately cease
• Certain provisions survive as required by law or purpose

16. CHANGES TO TERMS

WazaNow may update these Terms at any time. Continued use after changes constitutes acceptance.

17. GOVERNING LAW AND DISPUTE RESOLUTION

Unless mandatory local law requires otherwise:

• Governing law: Singapore
• Disputes shall be resolved by the courts of Singapore or binding arbitration, at WazaNow’s discretion

Users retain non-waivable consumer rights where applicable.
